Terms for using Vialine
Vialine helps businesses set up and use an AI workspace, grounded assistants, connected providers, and related workflows. AI output can be incomplete, inaccurate, or inappropriate for your situation, so you are responsible for reviewing, verifying, and deciding how to use it.
1. Agreement to these Terms
These Terms of Service apply to vialine.io, the Vialine application, and related setup, support, consulting, software, and communication services (collectively, the “Services”). Vialine is a business name of Groveline, LLC (“Groveline”, “we”, “us”, or “our”).
By accessing or using the Services, you agree to these Terms. If you use the Services on behalf of a company or other organization, you represent that you have authority to bind that organization.
2. What Vialine provides
Vialine provides an AI workspace and implementation service for businesses. The Services may include account setup, onboarding, customized AI agent instructions, document and knowledge management, chat, model-provider configuration, bring-your-own-key provider connections, reporting, billing, and related support.
Any implementation, configuration, or consulting support is limited to the scope we agree to in writing. Product features may change over time as we improve the Services.
In the standard product path, Vialine provides the workspace layer and you choose the model provider or connected account used with that workspace. Some more private, self-hosted, or custom model setups may be offered only through a separate support or services arrangement.
3. AI outputs and user responsibility
The Services use artificial intelligence models and third-party AI providers. AI-generated responses, summaries, recommendations, drafts, classifications, agent behavior, and other outputs (“AI Outputs”) are generated probabilistically and may be wrong, outdated, incomplete, biased, unsafe, or unsuitable for your intended use.
You are solely responsible for reviewing and validating AI Outputs before relying on them, publishing them, sending them to customers, making business decisions from them, or using them in any workflow. Vialine does not guarantee that AI Outputs are accurate, lawful, complete, secure, non-infringing, or fit for a particular purpose.
AI Outputs are not legal, tax, accounting, medical, financial, safety, employment, insurance, or other professional advice. You should consult a qualified professional before using AI Outputs in regulated, high-risk, or consequential situations.
4. No autonomous high-risk use
You may not use the Services as the sole basis for decisions that could materially affect a person’s rights, safety, employment, credit, housing, medical care, legal status, financial position, or access to essential services. You must maintain appropriate human review for consequential decisions and customer-facing communications.
5. Your content and connected accounts
You may upload, link, submit, or generate business information, documents, prompts, instructions, chat messages, customer materials, credentials, API keys, and other content (“Customer Content”). You retain ownership of your Customer Content.
You grant us the limited rights needed to host, process, transmit, display, secure, troubleshoot, and otherwise provide the Services. You represent that you have the rights and permissions needed to provide Customer Content and connect third-party accounts to the Services.
Customer Content may include shared business context, workspace memory, linked documents, and other materials used to ground the Services in your business. You are responsible for deciding what content you place in the workspace and what content you connect to external providers.
6. Acceptable use
You agree not to use the Services to:
- violate any law, regulation, contract, or third-party right;
- submit false, misleading, infringing, or unlawful content;
- attempt to gain unauthorized access to systems or accounts;
- interfere with, overload, scrape, reverse engineer, or disrupt the Services;
- send spam, abusive messages, malware, or deceptive communications;
- use AI Outputs without appropriate human review where review is necessary; or
- use the Services for emergency, life-safety, or prohibited high-risk decisions.
7. Third-party services and AI providers
The Services may interoperate with third-party platforms such as AI model providers, payment processors, analytics tools, hosting providers, email systems, document storage platforms, OAuth providers, and other services. Your use of those services may be governed by their own terms and privacy policies.
We are not responsible for third-party services that we do not control, including their availability, model behavior, pricing, security, data handling, API changes, outages, or outputs.
This includes providers you connect through bring-your-own-key, OAuth, document integrations, calendar integrations, or any custom private-model infrastructure used for your workspace.
8. Fees, subscriptions, and provider costs
Paid Vialine plans, setup fees, support fees, and subscription terms are shown at checkout or in a separate written agreement. Unless we state otherwise, fees are non-refundable once paid.
If you connect your own AI provider key or third-party account, you are responsible for charges assessed by that provider. Vialine does not control third-party provider pricing or usage charges.
Unless we expressly agree otherwise in writing, Vialine fees cover the workspace product and related support we provide, not usage charges billed by third-party model or infrastructure providers.
9. Accounts and security
You are responsible for maintaining the confidentiality of your login credentials and for activity under your account. Notify us promptly if you believe your account, API keys, provider connections, or connected accounts have been compromised.
10. Intellectual property
We and our licensors own the Services, including software, designs, workflows, templates, documentation, brand assets, and related materials. These Terms do not transfer ownership of our intellectual property to you.
You may use the Services only as allowed by these Terms and any applicable written agreement. You may not copy, modify, distribute, resell, or create derivative works from the Services except as we expressly permit.
11. Disclaimers
To the fullest extent permitted by law, the Services and AI Outputs are provided “as is” and “as available” without warranties of any kind, whether express, implied, statutory, or otherwise. We disclaim warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and reliability.
We do not guarantee revenue, cost savings, lead volume, conversion rates, search rankings, customer outcomes, model quality, uptime, or any other business result.
12. Limitation of liability
To the fullest extent permitted by law, Groveline, LLC and its owners, employees, contractors, suppliers, and service providers will not be liable for indirect, incidental, consequential, special, exemplary, punitive, or lost-profit damages, or for loss of data, goodwill, business opportunity, or revenue.
To the fullest extent permitted by law, our total liability for any claim arising out of or related to the Services or these Terms will not exceed the amount you paid to us for the Services giving rise to the claim during the three months before the event giving rise to the claim, or one hundred dollars ($100), whichever is greater.
13. Indemnity
You agree to defend, indemnify, and hold harmless Groveline, LLC from claims, damages, liabilities, costs, and expenses arising from your Customer Content, your use of AI Outputs, your connected accounts, your violation of these Terms, or your violation of law or third-party rights.
14. Suspension and termination
We may suspend or terminate access to the Services if we believe you have violated these Terms, created security or legal risk, failed to pay amounts due, or used the Services in a way that could harm us, other users, or third parties.
15. Privacy
Our Privacy Policy explains how we collect, use, disclose, and protect personal information.
16. Changes to these Terms
We may update these Terms from time to time. The updated version will be posted on this page with a new “Last updated” date. Continued use of the Services after an update means you accept the revised Terms.
17. Governing law
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.
